Terms of Service

1. Agreement to Terms

By accessing or using the services provided by Vector Sales Advisors ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, then you may not access our services.

2. Services Description

Vector Sales Advisors provides professional sales consulting services, including but not limited to:

• Fractional VP of Sales services
• Sales strategy development and implementation
• Sales team training and development
• Sales infrastructure and process optimization
• Sales playbook development
• Recruiting and hiring services

The specific scope of services will be defined in a separate Service Agreement or Statement of Work between the parties.

3. Use of Services

3.1 Eligibility

Our services are available only to businesses and individuals who can form legally binding contracts under applicable law. By using our services, you represent that you have the authority to bind your organization to these Terms.

3.2 Acceptable Use

You agree to use our services only for lawful purposes and in accordance with these Terms. You agree not to use our services:

• In any way that violates any applicable federal, state, local, or international law or regulation
• To transmit any unauthorized advertising or promotional material
• To impersonate or attempt to impersonate the Company or any other person or entity
• In any way that infringes upon the rights of others

3.3 Client Responsibilities

As our client, you agree to:

• Provide accurate and complete information as required for service delivery
• Cooperate with our team and provide timely feedback
• Grant necessary access to systems, data, and personnel as required
• Maintain confidentiality of any proprietary methodologies or materials provided

4. Payment Terms

4.1 Fees

Fees for our services will be specified in your Service Agreement. All fees are exclusive of taxes, and you will be responsible for all applicable taxes.

4.2 Payment Schedule

Payment terms will be outlined in your Service Agreement. Unless otherwise specified:

• Invoices are issued monthly for services rendered
• Payment is due within 30 days of invoice date
• Late payments may incur interest at 1.5% per month

4.3 Refund Policy

Due to the nature of our consulting services, refunds are generally not provided. Any exceptions will be handled on a case-by-case basis at our sole discretion.

5. Intellectual Property

5.1 Company Property

All methodologies, frameworks, templates, and materials provided by Vector Sales Advisors remain our intellectual property unless explicitly transferred in writing.

5.2 Client Property

You retain all rights to your existing intellectual property. Any custom materials created specifically for you during our engagement will be your property upon full payment of all fees.

5.3 Feedback

Any feedback or suggestions you provide regarding our services may be used by us to improve our offerings without any obligation to you.

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the engagement. This obligation survives the termination of these Terms.

• Confidential information does not include information that is publicly available or independently developed
• Each party may disclose confidential information when required by law or court order
• The receiving party will protect confidential information with the same degree of care as its own confidential information

7. Limitation of Liability

Our total liability to you for any damages arising out of or related to these Terms or the services provided shall not exceed the total amount paid by you to Vector Sales Advisors in the twelve (12) months preceding the claim.

8. Termination

8.1 Termination by Either Party

Either party may terminate the service relationship with 30 days written notice, unless otherwise specified in your Service Agreement.

8.2 Termination for Cause

Either party may terminate immediately for cause if the other party:

• Materially breaches these Terms or the Service Agreement
• Becomes insolvent or files for bankruptcy
• Engages in illegal or unethical conduct

8.3 Effect of Termination

Upon termination:

• All outstanding fees become immediately due and payable
• Each party will return or destroy the other party's confidential information
• Provisions that by their nature should survive will remain in effect

9. General Provisions

9.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Colorado, without regard to its conflict of law provisions.

9.2 Dispute Resolution

Any disputes arising under these Terms will first be attempted to be resolved through good-faith negotiations. If unsuccessful, disputes will be resolved through binding arbitration in Denver, Colorado.

9.3 Entire Agreement

These Terms, together with your Service Agreement, constitute the entire agreement between you and Vector Sales Advisors regarding our services.

9.4 Amendments

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on our website and updating the "Effective Date."

9.5 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
